General Terms and Conditions of Sale for online reservations and the purchase of online gift vouchers.

The Nail COMPANY SA, whose head office is located at Rue du Midi 10, 1003 Lausanne, Switzerland, markets the following services through its websites www.thenailbar.ch and www.thebrowbar.ch:

- Aesthetic treatments for hands and feet, usually called "nail art", such as manicures and pedicures or nail polish application under the brand name The Nail Bar. A full list of services can be found on the website www.thenailbar.ch.

- Facials, including eyebrow waxing or facials under the brand name The Brow Bar. A full list of services can be found on the website www.thebrowbar.ch.

- Gift vouchers for the Services offered in The Nail Bar and The Brow Bar branches.

These general terms and conditions of sale only apply to online purchases and reservations. They apply to all Beauty Services and/or The Nail Bar or The Brow Bar Gift Vouchers that are offered for sale through the aforementioned websites.

For each order, the Buyer acknowledges that he/she has read these terms and conditions of sale and this acknowledgement implies full acceptance of their content.

The Buyer is invited to read these General Conditions carefully, to download and/or print them and to keep a copy. The Buyer acknowledges :

- That any purchase on the websites www.thenailbar.ch and www.thebrowbar.ch is not directly related to his/her professional activity, and is limited to a strictly personal and private use;

- That he/she is of legal age and has full legal capacity, allowing him/her to commit to the present general conditions of sale.

The Nail Company SA reserves the right to modify these general terms and conditions of sale at any time.

1. Beauty services

1.1 Characteristics

The Buyer may purchase through the websites www.thenailbar.ch and www.thebrowbar.ch the Beauty Services offered as described on the websites.

It is up to the Buyer to take note, on the websites, of all the characteristics of the Beauty Service he/she wishes to benefit from and in particular:

- The name or reference of the Beauty Service concerned;

- The precise description of the Beauty Service concerned;

- The establishment where the Beauty Service is offered;

- The price of the Beauty Service concerned;

- The period of validity of the offer concerned;

- The time slot during which the Beauty Service can be offered (days, hours).

1. 2. Purchase and reservation

The Buyer, after having selected the desired Beauty Service(s), makes a reservation request via the module reserved for this purpose on the websites, indicating in particular for each Beauty Service concerned the desired date and time.

In the event that the Beauty Services cannot be provided on the dates and times requested by the Buyer, he/she will be offered other availability for the Beauty Services concerned, the reservation only being effective once he/she has confirmed his/her availability and a date and time have been set.

The Buyer will receive an email confirming the booking, the date and time when the Beauty Services will be provided, the name of the beneficiary, and the essential elements of the order.

The price of the Beauty Services is collected by The Nail Company SA upon payment by the Buyer via the website at the time of confirmation of the booking.

2. Gift Vouchers

2.1 Characteristics

The Buyer can purchase through the websites www.thenailbar.ch and www.thebrowbar.ch Gift Certificates allowing their beneficiary to benefit from a Beauty Service.

The Beauty Services concerned for each Gift Certificate from The Nail Bar or The Brow Bar are described in detail on the websites. It is the responsibility of the Buyer to read the description of the Beauty Services concerned on the websites.

The Gift Certificates are individualised by a unique identifier secured by means of "QR CODE" technology and can be used by their beneficiary at any time (after reservation and subject to availability) for a period of twelve months from their date of issue.

Recipients of The Nail Bar or The Brow Bar Gift Certificates may exchange the Beauty Services indicated in their The Nail Bar or The Brow Bar Gift Certificates for any other Beauty Services offered by The Nail Bar or The Brow Bar shops at the same price conditions, except for offers of a promotional nature (and therefore limited in time).

The Nail Bar or The Brow Bar Gift Vouchers can only be used in The Nail Bar or The Brow Bar shops and only to benefit from the Beauty Services. They may not be used in any way as consideration for the supply of products or services other than the Beauty Services. The Nail Bar or The Brow Bar gift vouchers cannot be reimbursed in cash.

At the end of the three year period (36 month) from the date of issue of The Nail Bar or The Brow Bar Gift Certificate, it will lose all validity and can no longer be used; the price will remain with The Nail Company SA. No Beauty Services will be provided for The Nail Bar or The Brow Bar Gift Certificates that have expired.

2.2 Purchase and booking

The price of The Nail Bar or The Brow Bar Gift Certificates is collected by The Nail Company SA upon payment by the Buyer through the websites.

Upon settlement of the payment, The Nail Company will send The Nail Bar or The Brow Bar Gift Certificate to the Buyer or to the beneficiary designated by the Buyer by email.

The Nail Bar or The Brow Bar Gift Certificates will indicate the details of the Beauty Services concerned, the specific Establishment providing them, and the name of the beneficiary. The Nail Bar or The Brow Bar Gift Certificates may be used by the recipient to obtain the relevant Beauty Services at any time during the time periods specified in the Beauty Services Offer during their period of validity.

Recipients of The Nail Bar or The Brow Bar Gift Certificates should make their reservation through the websites, in order to verify the validity of the Gift Certificates concerned.

The booking mechanism will then be the same as described in clause 1.2 above.

3. Changing a booking

Any booking made in accordance with clauses 1.2 and 2.2 above may be amended via the websites, provided that the amendment is made at least 24 hours before the date and time originally booked.

All PROMOTION bookings are non-changeable and non-refundable.

The Buyer or Beneficiary who has modified a booking via the websites www.thenailbar.ch and www.thebrowbar.ch will receive a confirmation by email indicating the modified date and time.

Any Beauty Service booked that has not been modified in accordance with the conditions set out in this article shall be deemed to have been validly provided, even if the purchaser or beneficiary has not turned up, which the purchaser expressly acknowledges and accepts. Thus, the fact of not having shown up at the reserved appointment cannot be the object of any reimbursement.

In case of late arrival for an appointment booked online, the Beauty Service may be reduced by a shorter service, in proportion to the delay. In no way can the missed appointment time be taken at another time of day or postponed to another day. In these cases, the reduction of the service time or the modification of the service will not be subject to a partial or total refund.

4. Formation of the Contract

Any purchase of Beauty Services and/or The Nail Bar or The Brow Bar Gift Vouchers through the websites www.thenailbar.ch and www.thebrowbar.ch implies the adherence without restriction or reserve to the present general conditions of sale.

From the moment the Buyer has registered his/her order by clicking on the order validation icon, he/she is considered to have accepted with full knowledge of the facts and without reservation the present general conditions of sale, the prices, volumes and quantities of Beauty Services and/or The Nail Bar or The Brow Bar Gift Certificates offered for sale and ordered.

The sale will only be considered final after The Nail Company SA has sent the Buyer confirmation of the order by e-mail to the address provided by the Buyer, and has received payment of the full price.

5. Prices and payment terms

5.1 Prices

The prices of the Beauty Services and The Nail Bar or The Brow Bar Gift Vouchers, indicated in Swiss Francs (CHF), are those in force at the time of validation of the order by the Buyer.

The prices include the value added tax (VAT) applicable on the day of the order and any change in the applicable VAT rate will automatically be reflected in the price of the Beauty Services and Gift Certificates.

Prices for Beauty Services and The Nail Bar or The Brow Bar Gift Certificates may be changed by The Nail Company SA at any time.

5.2 Payment terms

Beauty Services and The Nail Bar or The Brow Bar Gift Certificates are payable in cash at the time of ordering, by payment card (Visa, MasterCard) or via the Twint application. Payment is made via a secure online payment system using SSL protocol, which requires the Buyer to provide his/her payment card number, expiry date and cryptogram. Any fraudulent use of the Buyer's payment card is subject to the contractual provisions agreed between the latter and the card issuer.

The full amount of the order shall be collected by The Nail Company SA at the time of validation of the order. At no time may the sums paid be considered as a deposit or advance payment.

The Buyer guarantees The Nail Company SA that he/she has the necessary authorisations to use the method of payment that he/she has chosen when validating his/her order.

The Nail Company SA reserves the right to suspend or cancel any order, whatever its nature and level of execution, in the event of non-payment of any sum due by the Buyer or in the event of a payment incident.

The Nail Company SA reserves the right to request a photocopy of the Buyer's identity card for any payment by credit card.

6. Non-waiver

The fact that one of the parties does not avail itself of a breach of one of the obligations referred to in these general terms of sale shall not be interpreted for the future as a waiver of the obligation in question.

7. Applicable Law

The sales of Beauty Services and Gift Certificates offered by The Nail Company SA are subject exclusively to Swiss law.

Any dispute that may arise in the interpretation or execution of the contract shall be submitted to the judicial authorities of the jurisdiction of The Nail Company SA's headquarters.

8. Data protection

The information collected by The Nail Company SA during any order from the Buyer, which is necessary for the execution of the contract, is processed in accordance with the Swiss Data Protection Act. The Buyer has the right to access, rectify, oppose and delete data concerning him/her at The Nail Company SA. The Buyer's attention is drawn to the fact that his data will be subject to computer processing and that it may be communicated to third party companies in the context of the management of the order.
